JUNE 2009 - John Wadsworth, founder and president of Tahitian Noni International (TNI),  announced that all Tahitian Noni International operations in Brazil will be suspended.  "Unfortunately, changes in government regulations no longer allow us to legally sell and market TAHITIAN NONI Juice in Brazil," stated Mr. Wadsworth. "This is not a decision that has been made lightly.  TNI has spent months looking at multiple ways in which we might possibly continue to do business there. Tahitian Noni has produced years of safety information for government entities, to no avail. TNI has done every thing we could possibly do to keep Tahitian Noni International in Brazil, but the time has come to accept the fact that for now, this is the only responsible course of action to take. Although TNI is disappointed in the current situation, we will continue to seek approval to bring TAHITIAN NONI Juice legally into Brazil."

2. Until such time as Robert L. Dean, Jr. ceases to be an IPC for Tahitian Noni International, Inc., Robert L. Dean, Jr. and Top Dog International shall not promote or sell any non- Tahitian Noni® brand liquid dietary supplement without prior written approval from Tahitian Noni International, Inc.

Plaintiff shall post a bond in the amount of $10,000.00. This Preliminary Injunction
shall become effective immediately upon posting the bond.

TAHITIAN NONI - MORINDA - TNI SETTLES WITH XANGO
TNI FINED BY COURT 
In he lawsuit filed by Morinda (now Tahitian Noni) against XanGo and a number of its top officers who were formerly Morinda employees, is settled.   In the failed lawsuit filed by Morinda, it alleged XanGo and its top officers stole Morinda's property interest in mangosteen while they were employed by Morinda. The company claims that all intellectual property rights in the XanGo juice product (s), and all intellectual property rights stemming therefrom, are the exclusive property of Morinda. Morinda sought a constructive trust to imposed upon all assets, corporate opportunities, benefits and profits supposedly unlawfully obtained by XanGo. While not laughed out of court Morinda did not get far. Depositions of XanGo's alleged "partner," Wild Flavors, did not shed any light on whether Morinda could prove its past officers/employees were working on XanGo business while still employees of Morinda (they weren't).  This route of investigation flopped. Since public records show that the trademark of XanGo was applied for approximately five months before these officers left Morinda, but none of them did the filing. This cause of action by TNI  was almost a joke in the courtroom.  Morinda was fined by the court for an undisclosed amount for not following the courts rules of discovery as directed by the Judge.

Editors Opinion Note: Aloe Commodities manufactured Noni Juice for Tahitian Noni - Morinda (TNI) for years then set up their own bottling plant in Utah.  Aloe Commodities in Dallas which supports several MLM Companies and has started some unsuccessful ones of their own pulled this slick diversification below.  Why?  Because they probably had a non-compete for x time after stopping Manfacture.  Any how about 3 months after the below action Noni Juices showed up in CostCo......  MMMMmmmmmmm opinion only.

Acquisition of Transferred Assets

On October 22, 2003, Integrated BioPharma, Inc. (the "Company") completed the acquisition of various assets related to the Naturally Aloe, Naturally Noni and Avera Sport product lines (the "Product Lines") from Aloe Commodities International, Inc. ("Aloe"). The assets included trademarks, copyrights, art work, formula for the products, labels, customer lists, goodwill, inventories and books and records (collectively hereinafter referred to as the "Transferred Assets").

Pursuant to the terms of an Asset purchase agreement dated October 22, 2003 by and between the Company and Aloe, the purchase price for the Transferred Assets was $2,597,469.83, based upon a closing inventory of the Transferred Assets with $872,469.83 paid at closing in immediately available funds by wire transfer and $1,725,000.00 to be paid in the form of 203,085 shares of the Company's common stock valued on the basis of the average closing price as reported on the American Stock Exchange for the ten (10) trading days immediately preceding the closing date. Such shares shall be held in escrow for a period of one (1) year from the closing date and released pursuant to the terms of an Escrow Agreement (the "Escrow Agreement") between and among the Company, Aloe and Vial, Hamilton, Koch & Knox, L.L.P. (the "Escrow Agent").

The Transferred Assets were used by Aloe to produce various products under the Product Lines. The Company intends to use such Transferred Assets to continue the distribution of the variuos product lines. The three brands purchased by the Company have retail distribution of Natural Juices and Sports Nutrition products in the consumer retail trade market. The Product Lines are distributed at Costco, General Nutrition Centers, Trader Joes, Vitamin Shoppe, Kroger and other leading retailers.
